Mannings Innovation Program Terms and Conditions
Please read all of these Terms and Conditions carefully before joining Mannings Innovation Program (“Program”).
The Program consists of an online ideas portal (“Portal”) provided and operated by Mannings. By joining the Program, you agree to these terms and conditions (the "Terms") and as they may be amended thereafter. Any change to these Terms shall be effective and apply to the Portal on and from the date that Mannings upload the amended Terms onto Mannings’ website.
All the information submitted by you (in whatever form) to Mannings on the Portal (each instance being an “Entry”) under the Program are subject to these Terms, and we reserve the right to change without prior notice. If you do not agree with these Terms, please do not submit the Entry through the Portal. Unless we agree with you otherwise in writing, we will not accept Entries in relation to your ideas in any other way.
All conversations (including but not limited to text, image, voice, video) are transmitted to and stored in Mannings and its authorised third parties, including processing overseas. Please read our company's privacy policy before submitting any information. By submitting the Entry and providing personal data to Mannings, you accept and agree to be bound by Mannings’ privacy policy.
The Portal forms part of the Mannings website, and Mannings’ website terms and conditions apply to your submission of Entries via the Portal (and can be found here). To the extent there is any conflict between these Terms and Mannings’ website terms and conditions, these Terms will apply.
Definitions
1.1 Certain terms used in these Terms have the following meanings:
"Mannings" or "the Company" or “we” or “our” means Mannings (The Dairy Farm Company, Limited, trading as Mannings).
"Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China.
"Including" means including but not limited to.
"You" or “your” is reference to the person who provides information or ideas to the Company on the Portal.
Amendment of these Terms
2.1 The Company may, in its sole and absolute discretion, amend these Terms from time to time without liability to you. The Company will upload any revised terms of these Terms on Mannings’ website. If you continue to submit Entries after these Terms have been revised, you will be deemed to have accepted the revisions and agree to be bound by the revised Terms. 3.1 You acknowledge and agree that all rights in the Program and its content and the Entry (including all trademarks, service marks, trade names and logos used in relation to them, any text, images, links and sounds, and content available through links to third parties), are owned exclusively by the Company or its third-party licensors. You have no rights, title or interest in the Program or the content, and have no right to use it, save for the limited license granted under licensed rights. You shall not use any such trademark, service mark, trade name or logo of the Company or its third-party licensors, or any other intellectual property rights of the Company for any purpose. Nothing in these Terms shall be construed as granting you any rights to such trademarks, service marks, trade names, logos or intellectual property rights. Privacy
4.1 Your salutation, name, phone number and email address will only be stored and used by the Company to contact you. 4.2 The Company will not disclose or ask you to disclose any sensitive personal information, account information, passwords and other credentials during the conversation. Please refrain from revealing any personal information, account information, passwords and other credentials. The Company also reminds you not to spread and keep your device, personal information, account information, passwords and other credentials confidential. 4.3 Submission of Entries is subject to the terms set out in the Company's Privacy Policy. By submitting the Entries and providing personal data to Mannings, you accept and agree to be bound by these terms. 4.4 All communications with us (including but not limited to text, image, voice, video) and the Entries will be retained by the Company for two years. You agree that:
5.1 you shall be solely responsible for any breach of your obligations under these Terms and for your actions or omissions, and the Company shall not be liable to you or any other person in respect of such matters; 5.2 you shall not contravene or infringe the rights of any other person; 5.3 you have all necessary rights to, and are legally entitled to, submit your Entry to Mannings via the Portal in accordance with the Terms; 5.4 your Entry does not infringe any third party's rights, including intellectual property rights and your Entry is compliant with, and does not violate, applicable laws; 5.5 your Entry is not subject to any restrictions, adverse claims or disputes of or by any third party; 5.6 you permit Mannings to use, modify, disclose and share the information provided in your Entry in accordance with the Terms; and 5.7 to inform Mannings if you become aware of any circumstance that would make the statements in this section inaccurate. You acknowledge that Mannings may have independently and already developed your Entry or may independently be in the process of developing, or develop in the future, ideas or concepts similar to your Entry. Mannings will have no liability to you arising for any such independent creation.
What will we do with your Entry?
6.1 Mannings may decide at its sole discretion whether or not to review and assess your Entry. If Mannings is interested in your Entry, we (or a third party) may review and evaluate your Entry, contact you regarding the Entry and/or engage in further discussions regarding the Entry, but we are under no obligation to do so. If we decide not to review, evaluate or use your Entry, we are not obligated to contact you and/or give you any reason for this decision, and shall have no liability to you for this decision. 6.2 Any discussion we may have with you relating to your Entry or any offers we may make to you shall not bind either of us unless and until you and we enter into a signed written agreement (if any). No discussion or offer shall be deemed or inferred to be an admission of novelty or originality of your Entry, or that our discussion will lead to a contract or business relationship between you and us, or any form of compensation to you. 6.3 Mannings may make a copy of any data submitted via the Portal or otherwise collected during the course of any communications with you, but is under no obligation to return any materials to you. 6.4 Mannings may independently develop its products/services from ideas from other sources but similar to or same as your ideas in your Entry and this will not be constituted as a breach of its obligations herein. 6.5 Mannings will delete your Entry 6 months from the date of submission of your Entry no matter it has been accepted or rejected by Mannings. 7.1 We exclude all liability resulting from the submission of your Entry. You waive any claims against Mannings in connection with our use of your Entry in accordance with the Terms. Termination
8.1 The Company has the right to suspend or terminate all or any part of the Program or the Portal at any time at its sole discretion without notice or without giving reason. Governing Law and Jurisdiction
9.1 These Terms are governed by and will be construed according to Hong Kong laws. You can submit to the non-exclusive jurisdiction of the Hong Kong courts. These Terms may be enforced in the courts of Hong Kong. Governing Version
10.1 The English version of these Terms prevails to the extent of any inconsistency between the English and the Chinese versions. Any Chinese versions of these Terms is for reference only.
